Zgodnie z treścią Statutu Banku Spółdzielczego w Otwocku Zarząd Banku zawiadamia, że w dniu 24 maja 2023 roku (środa), odbędzie się Zebranie Przedstawicieli.

Proponowany porządek Zebrania:

  1. Otwarcie Zebrania.
  2. Wybór Prezydium obrad: Przewodniczącego, Sekretarza oraz dwóch członków Prezydium.
  3. Podjęcie Uchwały w sprawie przyjęcia Regulaminu obrad Zebrania Przedstawicieli – Uchwała Nr 1
  4. Przyjęcie porządku obrad.
  5. Wybór Komisji Uchwał i Wniosków, Komisji Mandatowo – Skrutacyjnej
  6. Przyjęcie protokołu z poprzedniego Zebrania Przedstawicieli.
  7. Przedstawienie informacji o ukonstytuowaniu się Komisji Uchwał i Wniosków, Komisji Mandatowo – Skrutacyjnej oraz stwierdzenie prawomocności obrad Zebrania Przedstawicieli.
  8. Przedstawienie sprawozdania Zarządu z działalności Banku za 2022 r. oraz wykonania uchwał i wniosków z poprzedniego Zebrania Przedstawicieli.
  9. Przedstawienie kierunków działania Banku Spółdzielczego w Otwocku na 2023 r.
  10. Przedstawienie sprawozdania finansowego za rok obrotowy 2022 wraz ze sprawozdaniem niezależnego Biegłego Rewidenta.
  11. Przedstawienie projektu podziału nadwyżki bilansowej.
  12. Wniosek Zarządu w sprawie oznaczenia najwyższej sumy zobowiązań Banku Spółdzielczego w Otwocku na 2023 r.
  13. Sprawozdanie Rady Nadzorczej z pracy i nadzoru nad działalnością Banku Spółdzielczego w Otwocku w 2022r.,
  14. Wniosek Rady Nadzorczej w sprawie przyjęcia sprawozdania finansowego Banku za rok obrotowy 2022 oraz udzielenia absolutorium poszczególnym Członkom Zarządu Banku.
  15. Dyskusja nad sprawozdaniami Zarządu i Rady Nadzorczej.
  16. Ocena adekwatności regulacji wewnętrznych Rady Nadzorczej oraz skuteczności jej działania przeprowadzona przez Komisję Mandatowo-Skrutacyjną
  17. Przedstawienie wniosków z Grup Członkowskich oraz ich przegłosowanie.
  18. Podjęcie uchwał w sprawach:
  • zatwierdzenia sprawozdania Zarządu z działalności Banku Spółdzielczego w Otwocku za rok 2022 – Uchwała Nr 2,
  • zatwierdzenia sprawozdania finansowego Banku Spółdzielczego w Otwocku za rok obrotowy 2022 – Uchwała Nr 3,
  • zatwierdzenia sprawozdania Rady Nadzorczej z działalności w 2022 r. – Uchwała Nr 4,
  • udzielenia absolutorium Robertowi Piskorzowi –Prezesowi Zarządu– Uchwała Nr 5,
  • udzielenia absolutorium Renacie Lewandowskiej – Zastępcy Prezesa Zarządu– Uchwała Nr 6,
  • udzielenia absolutorium Monice Olchawie – Członkowi Zarządu– Uchwała Nr 7,
  • zatwierdzenia podziału nadwyżki bilansowej Banku Spółdzielczego w Otwocku za rok obrotowy 2022 – Uchwała Nr 8,
  • oznaczenia najwyższej sumy zobowiązań Banku Spółdzielczego w Otwocku na 2023 r. – Uchwała Nr 9,
  • zatwierdzenia Kierunków działania Banku Spółdzielczego w Otwocku na 2023 r. – Uchwała Nr 10.
  1. Podjęcie uchwały w sprawie zatwierdzenia  Ładu korporacyjnego i wewnętrznego w  Banku Spółdzielczym w Otwocku – Uchwała nr 11.
  2. Podjęcie Uchwały w sprawie oceny adekwatności regulacji wewnętrznych Rady Nadzorczej oraz skuteczności jej działania – Uchwała nr 12.
  3. Wolne wnioski.
  4. Przedstawienie przez  Komisję Uchwał i Wniosków zgłoszonych wniosków oraz ich przegłosowanie.
  5. Zamknięcie obrad.

 

Zgodnie z § 23 ust. 4 Statutu w dniach 28 kwietnia  do 23 maja 2023 r w godz. 8:00 – 15:00  w sekretariacie Banku przy ul. Kołłątaja 1B,  I piętro będą wyłożone następujące dokumenty:

  • Roczne sprawozdanie z działalności Banku Spółdzielczego łącznie z rocznym sprawozdaniem finansowym i sprawozdaniem niezależnego biegłego rewidenta z badania rocznego sprawozdania finansowego
  • Sprawozdanie z wykonania zaleceń i uchwał poprzedniego Zebrania Przedstawicieli,
  • Projekty uchwał, jakie mają być podjęte na Zebraniu Przedstawicieli,
  • Protokół z ostatniego Zebrania Przedstawicieli.
